Terms & Conditions
1. Definitions
The following terms are used throughout these terms and conditions:
| DAQS | DAQS B.V., registered in Dordrecht, Chamber of Commerce number 80862659. |
| Platform | All services and products offered by DAQS, including DAQS Assist (Revit plugin), DAQS Dashboard, and DAQS Elements. |
| User | The legal entity or individual who has access to and uses the Platform. |
| Information model | The BIM model or data extraction thereof that is analysed via the Platform. |
| Output | Reports, analyses, quality assessments, and other results generated by the Platform on the basis of an information model. |
2. Applicability
These terms and conditions apply to all access to and use of the Platform. By using the Platform, the User agrees to these terms.
Deviations from these terms are only valid if agreed upon in writing in a separate contract. In the event of conflict between these terms and a separate contract, the contract prevails.
3. The platform
The Platform is a tool for analysing and monitoring the quality of information models. It operates on the basis of:
| Data extractions from information models | DAQS does not receive full Revit models — only a structured extraction of model data. Reconstruction of the original model from this extraction is not possible. |
| Validation rules | Based on standards, best practices, and the knowledge and experience of DAQS. |
| Automated analysis and assessments | Of elements based on the available data. |
4. Accuracy & limitations
DAQS aims to provide an accurate picture of the quality of information models. The User acknowledges that:
- Analyses are based on the data extraction provided. If an element lacks certain properties, the Platform may be unable to assess it correctly or may exclude it from the analysis entirely.
- Quality assessments are indicative in nature, based on conformity to standards, experience, and best practices.
- Unexpected results may occur. Causes may lie in the information model or in DAQS software. DAQS provides the ability to report findings so they can be investigated and addressed.
- The Platform is a supporting tool only. The User remains responsible for all decisions made on the basis of the Output.
5. Liability
DAQS is a decision-support tool. The ultimate responsibility for decisions made on the basis of Platform Output always rests with the User.
DAQS is not liable for:
- Damage resulting from decisions made on the basis of Platform Output.
- Incorrect or incomplete analyses caused by missing or inaccurate data in the information model.
- Indirect damage, consequential loss, lost profits, or loss of data.
- Interruptions or disruptions to Platform availability.
The total liability of DAQS to the User is in all cases limited to the amount paid by the User to DAQS in the three months preceding the event causing the damage.
6. Intellectual property
Ownership of model data
Data provided by the User (information models and data extractions thereof) remains the property of the User or the rightful owner at all times. DAQS does not acquire any ownership rights over this data through use of the Platform.
Use of data by DAQS
DAQS may use anonymised and aggregated usage data to improve the Platform. This concerns only statistical, non-traceable information — such as which validation rules are triggered or how the Platform is used. DAQS will never use or share data in a way that allows individual projects, models, or users to be identified.
DAQS software and Output
The software, validation rules, algorithms, and other technology of the Platform are and remain the property of DAQS. Generated Output may be used by the User for internal purposes and for communication with parties involved in the project.
7. Confidentiality & sharing Output
Platform Output contains information about information models whose rights typically rest with the client or the model owner. The User may not share Output with third parties outside the project without the consent of the rightful owner(s).
The User is responsible for complying with any confidentiality obligations arising from agreements with clients or other involved parties.
8. User obligations
The User agrees to:
- Use the Platform solely for its intended purpose.
- Apply professional judgement when acting on Output and not rely blindly on automated analyses.
- Report findings, errors, or unexpected results to DAQS so they can be investigated and resolved.
- Keep login credentials confidential and not share them with unauthorised individuals.
- Refrain from any actions that could disrupt the operation or security of the Platform.
9. Availability
DAQS aims for high Platform availability but does not guarantee uninterrupted access. Planned maintenance will be announced in advance where possible. DAQS is not liable for damage resulting from downtime or limited availability.
10. Changes
DAQS reserves the right to amend these terms and conditions. Significant changes will be communicated in advance via email or a notification on the Platform. Continued use after the effective date of a change constitutes acceptance of the updated terms.
11. Governing law & disputes
These terms are governed by Dutch law. Disputes will be submitted exclusively to the competent court in the district of Rotterdam.
